1. Agreement
These Terms of Service ("Terms") are an agreement between you and ND SOFT LLC, operator of CalendarFuse. By accessing or using CalendarFuse, you agree to these Terms and the Privacy Policy. If you use the service for an organization, you represent that you have authority to bind that organization.
2. Website, demo, and private beta
CalendarFuse provides tools intended to consolidate calendar visibility, identify duplicate or conflicting records, support delegated calendar management, and display related business context. During private beta, features may be incomplete, changed, suspended, or removed. Sample results are illustrative and should be reviewed before applying changes to a production calendar.
CalendarFuse is not an emergency notification system, legal recordkeeping system, or guaranteed source for travel, medical, financial, or safety-critical timing.
3. Accounts and authorization
- You must provide accurate account information and protect access credentials.
- You may connect only accounts, calendars, CRM records, and workspaces you are authorized to access.
- An executive, administrator, or calendar owner is responsible for granting and reviewing assistant permissions.
- You are responsible for reviewing event changes, attendee notifications, privacy settings, recurrence rules, and source ownership.
- You must promptly disconnect access that is no longer authorized.
4. Acceptable use
You may not use CalendarFuse to gain unauthorized access; monitor or impersonate another person; send spam; distribute malware; interfere with the service; scrape or reverse engineer protected portions of the service; evade provider limits; or violate law, contract, privacy rights, intellectual-property rights, or a connected provider's terms.
We may limit or suspend access when reasonably necessary to investigate abuse, protect accounts, comply with law, or preserve service integrity.
5. Third-party services
Google, Microsoft, Apple, Salesforce, conferencing providers, and other connected services are independent third parties. Their availability, permissions, APIs, limits, and terms may change. CalendarFuse is not responsible for a third party's service, data, outage, policy, or action.
You remain responsible for complying with each provider's terms and for maintaining any licenses required for the accounts you connect.
6. Fees
The public demo is available without charge. Private-beta or future paid plans may have separate order terms, pricing, limits, cancellation rules, and taxes disclosed before purchase. Unless an order form says otherwise, fees are non-refundable except where required by law.
7. Ownership and feedback
CalendarFuse, its design, software, documentation, branding, and related intellectual property are owned by ND SOFT LLC or its licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the service as intended while your access remains active.
You retain rights in your information. You grant CalendarFuse the limited rights needed to host, process, transmit, and display that information to provide the service. Feedback may be used without restriction or obligation, provided it does not identify confidential calendar content.
8. Confidentiality
Each party will use reasonable care to protect non-public information disclosed in connection with the private beta and will use it only for the relationship, except where disclosure is authorized or legally required.
9. Disclaimers
To the maximum extent permitted by law, CalendarFuse is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Duplicate detection, conflict suggestions, time-zone handling, provider synchronization, and generated summaries may be incomplete or incorrect and must be reviewed by an authorized user.
10. Limitation of liability
To the maximum extent permitted by law, ND SOFT LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, data, or goodwill arising from CalendarFuse. Our total liability for claims relating to the service will not exceed the greater of US $100 or the amount paid for CalendarFuse during the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limits, so portions of this section may not apply.
11. Indemnification
To the extent permitted by law, you will defend and indemnify ND SOFT LLC from third-party claims arising from your unauthorized or unlawful use of CalendarFuse, your connected data, or your violation of these Terms or another person's rights.
12. Termination
You may stop using CalendarFuse at any time. We may suspend or terminate access for material breach, security risk, legal requirement, provider restriction, or discontinuation of the private beta. Provisions that by their nature should survive will survive termination.
13. Governing law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. The state and federal courts located in Pima County, Arizona will have exclusive jurisdiction, unless applicable law requires otherwise.
14. Changes
We may update these Terms as CalendarFuse changes. The effective date will be revised. Continued use after updated Terms take effect constitutes acceptance, subject to applicable law.
